Agency Terms & Conditions

These Agency Terms and Conditions ("Agency Terms") govern the access to and use of the Fanelix platform by agencies, management companies, or similar entities that manage Creator accounts ("Agencies").

These Agency Terms form a legally binding agreement between Fanelix ("Fanelix", "we", "us", or "our") and the Agency. By registering an Agency account, accessing Agency tools, or managing Creator accounts on Fanelix, the Agency agrees to be bound by these Agency Terms, the Fanelix Terms and Conditions, and all other applicable Fanelix policies.

If there is any conflict between these Agency Terms and the Fanelix Terms and Conditions, these Agency Terms will apply with respect to Agency activities.

1. Definitions

• Agency means any individual or legal entity that manages one or more Creator accounts on Fanelix.

• Creator means a user who uploads content and monetizes through the Fanelix platform.

• Customer means a user who purchases access to Creator content.

• Agency Account means an account registered specifically for Agency use.

• Platform means the Fanelix website, applications, and services.

2. Nature of Relationship

1. Agencies operate as independent third parties.

2. Agencies are not employees, partners, agents, or representatives of Fanelix.

3. Agencies have no authority to bind Fanelix or act on behalf of Fanelix in any capacity.

4. Fanelix does not endorse, certify, or guarantee any Agency or its services.

3. Agency Eligibility and Registration

To register and operate as an Agency on Fanelix, the Agency must:

1. Be legally capable of entering into binding contracts.

2. Provide accurate and complete registration information.

3. Comply with all applicable laws and regulations.

4. Maintain a verified and active Agency Account.

Fanelix reserves the right to approve, reject, suspend, or terminate Agency registrations at its sole discretion.

4. Creator Authorization Requirement

1. Agencies may only manage Creator accounts with explicit authorization from the Creator.

2. Authorization must be lawful, informed, and documented.

3. Fanelix may request proof of authorization at any time.

4. Fanelix is not responsible for disputes between Agencies and Creators regarding authorization, compensation, or management terms.

5. Scope of Agency Access

Subject to Creator permissions and platform features, Agencies may be able to:

• Upload and manage content

• Send messages on behalf of Creators

• Moderate comments and interactions

• Manage pricing, promotions, and subscriptions

• Access analytics and performance data

Fanelix may modify, restrict, or revoke Agency access at any time without notice.

6. Prohibited Actions

Agencies must not:

1. Impersonate Fanelix or claim affiliation beyond Agency status.

2. Engage in deceptive, misleading, or fraudulent behavior.

3. Use bots, automation, or artificial engagement unless explicitly authorized.

4. Send spam, mass unsolicited messages, or manipulative communications.

5. Inflate engagement metrics artificially.

6. Harass, coerce, or exploit Customers or Creators.

7. Circumvent platform safeguards or security features.

8. Share login credentials or access accounts without permission.

7. Content Responsibility and Compliance

1. Agencies are fully responsible for any content uploaded or managed through their access.

2. Agencies represent and warrant that all content complies with:

   • Applicable laws

   • Fanelix Content and Acceptable Use Policies

   • Intellectual property and privacy rights

3. Any policy violation will be treated as if committed by the Creator whose account is affected.

8. Earnings and Payments

1. Fanelix pays earnings only to Creators, not Agencies.

2. Revenue sharing arrangements between Agencies and Creators are strictly off-platform.

3. Fanelix does not mediate, enforce, or arbitrate Agency Creator payment disputes.

4. Agencies have no ownership or entitlement to Creator earnings held or paid by Fanelix.

9. Data Protection and Security

1. Agencies must use their own Agency Accounts and assigned permissions.

2. Agencies are responsible for maintaining account security.

3. Sharing Creator credentials is prohibited.

4. Agencies must comply with all applicable data protection and privacy laws, including GDPR where applicable.

10. Enforcement and Termination

Fanelix may, at its sole discretion:

• Issue warnings

• Restrict Agency features

• Suspend Agency or Creator access

• Terminate Agency Accounts permanently

• Remove all linked Creators from an Agency

No compensation is owed for enforcement actions.

11. Disclaimers

1. Fanelix provides the platform "as is" and makes no guarantees regarding Agency success.

2. Fanelix is not responsible for Agency business outcomes, performance, or profitability.

3. Agencies assume all risks associated with managing Creator accounts.

12. Indemnification

Agencies agree to indemnify and hold harmless Fanelix from any claims, damages, losses, or expenses arising from:

• Agency activities

• Violations of these Agency Terms

• Disputes with Creators or Customers

• Legal or regulatory breaches

13. Governing Law

These Agency Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by law.

14. Changes to These Terms

Fanelix may update these Agency Terms at any time. Continued use of Agency features after changes are posted constitutes acceptance of the updated terms.
